These Terms of Service ("Terms") govern your use of the GIGAOffer website and services operated by GIGAOffer LLC, a Florida Limited Liability Company ("GIGAOffer," "we," "us," or "our").

1. Services

GIGAOffer provides workflow automation software for commercial finance businesses. Our platform enables document analysis, opportunity identification for non-MCA lending products, and submission workflow execution under customer authorization. Our operations include lender-facing operations, deal submissions, commercial lending activities, and insurance-related services.

2. Eligibility

Our services are intended for MCA companies and commercial lending businesses. By using our services, you represent that you are authorized to act on behalf of your organization and that the information you provide is accurate.

3. Use of Services

You agree to:

Provide accurate and complete information
Obtain necessary authorizations from merchants before sharing their financial data
Use our services only for lawful commercial lending purposes
Not attempt to reverse-engineer, interfere with, or misuse our AI systems or platform

4. Financial Data and Authorization

By submitting financial documents through our platform, you represent that you have obtained appropriate consent from the merchant or business owner to share such documents for financing opportunity identification. GIGAOffer processes this data to identify potential financing opportunities and execute submission workflows to partner systems on your behalf.

5. Customer Authorization for Submissions

You authorize GIGAOffer to transmit data to third-party partners via API as part of configured workflows. You represent that you have obtained all necessary permissions, rights, and consents to share such data.

6. No Guarantee of Funding

GIGAOffer facilitates the qualification and submission process. We do not guarantee approval, funding, or specific terms from any lending partner. All lending decisions are made by the respective lending institutions.

7. Intellectual Property

All content, technology, AI models, and processes on the GIGAOffer platform are the property of GIGAOffer LLC. You may not copy, modify, distribute, or create derivative works without our written consent.

8. Limitation of Liability

To the maximum extent permitted by law, GIGAOffer LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount you paid to us in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless GIGAOffer LLC, its manager, members, and affiliates from any claims, damages, or expenses arising from your use of our services or violation of these Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida. Any disputes shall be resolved in the courts of Miami-Dade County, Florida.

11. Changes to Terms

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms.
